Well, it was going to happen sooner or later. As I am heading out for the grocery trek, I got a phone call from sister #1, that my brother #3 passed away last night. As you might remember, he had inoperable stage four throat cancer and was in "in home hospice care" for the last four months. Thankfully I got to visit with him just ten days ago.

Sorry for your loss. At least his suffering is over and he is gone on to a better place.

I woke up to the news, through press releases, that the company I work for is being bought out (merging into) a much larger company. It appears to be mostly complementary in terms of what each company brings to the table, which is good. Office chatter (all virtual) eyes it as a positive, pending more knowledge. We have a company meeting in 20 minutes where we will hear about it.

One thing it seems it will do is advance any pending RSU (restricted stock units) I may have been awarded in the past to when the merger is final and we then get cash for the stock buyout price instead. We normally get a small number of RSU each April and they vest over the next 3 years. So I will have this Aprils, next years, and the year after that all being paid out at once. We'll have to see what they do in the future for incentives to replace the granting of the RSU. As I received a special grant almost two years ago (1/3 vested last year so two more larger vestings), this could be a big windfall later this Spring when it closes. Which will help with the house, as costs have gone up since the budget was set for that...

I should learn more details at the top of the hour. Our team is already down 2 engineers, who just left or are leaving tomorrow to go on to new adventures so I don't think we'll have any negative impact on our team.

So on the buyout:

• they expect it to close, barring issues, in Q1
• all stock incentives will vest and be paid in cash at that point :)
• this was not a merger to squeeze costs out etc. but to grow their business and they expect most of the company to come across. Business as usual.
• as it was just announced (and the deal just signed) there are still a ton of details to be worked out.

Looks to be a positive in the big picture.

Afternoon All,

Only spent about 30 minutes in the train room while I used a makeup sponge to dab red paint on the trim pieces (to simulate fading and peeling). I'm at a stand still with the kit until I can spread everything out. My buddy Tom is undergoing open heart surgery today. Another buddy Jon is supposed to come to the house tomorrow to try to figure out my layout electrical issue. Fingers crossed.🤞

Hughie- Great job on Wanda's. It looks good in that location.

Smudge- The engine looks good.

Troy- I like the "better luck next time" trophy the best.

Joe- I saw the story on the news last night. It's beyond horrible.

TomO- Your statement is very true about MRR'ers. Great layout shot.

Jaz- Excellent modeling.

Willie- You have my condolences for your brother. It might of been expected but it's never easy. Thanks for the info. I ordered some. Nice layout scenes and "little people".

I hope everyone has a good night.

I lost out, so looking for another one :(

Evening fellers. On the way to 10" of snow tonight. That's more than usual for us here. I suppose I'll enjoy an extended weekend. Here's another plan I have been considering as well. I was going to share it earlier but I couldn't find a copy of it.

It covers approximately 8 feet by 8 feet. A tick bigger than I would like but I can work with it.
Willie- I'm terribly sorry for your loss.
That's about all I have for now. Hope everyone is doing ok. I'll stop by again when I get a chance.
